Description Reverse Mergers and Other Alternatives to Traditional IPOs David N. This is especially true for smaller companies, many of which are cut out of the IPO market because they do not meet the restrictive criteria set by investment banks. Berkshire Hathaway, Turner Broadcasting Systems, Texas Instruments, Tandy Corporation, Occidental Petroleum, Blockbuster Entertainment, and the New York Stock Exchange all went public without an initial public offering. They did so by means of the reverse merger; a method in which a private company acquires a majority stake in a public one and thereby becomes public. Others go public through other methods which avoid a traditional IPO, including a “self-filing” with the SEC. David Feldman (right) will explain how reverse mergers work, from the business and legal points of view. The second edition of his book, Reverse Merger and Other Alternatives to Traditional IPOs (Bloomberg Press) was released in December and remains the only text on this subject.
